本文以若干实例介绍国外公路(以及桥隧)项目采用BOT投资方式所签订的特许权协议中对若干主要问题的规定。包括:交通量、收费标准及过路费收入;政府对项目公司的支持(提供贷款、特许项目公司经营现有收费设施、提供土地、提供税收优惠、提供外汇担保、竞争保护或无第二通道保证、特征项目公司经营路边服务业、对不可抗力风险的支持等);造价、固定价格及交钥匙工程;以及协议提前终止时的付款。这些规定可供我国公路BOT项目以及类似的中外合作项目在合同起草及谈判时参考。
This article uses several examples to introduce some major issues in the concession agreement signed by the BOT investment method in foreign highways (and bridges and tunnels) projects. Including: traffic volume, toll rates and toll revenue; government support for project companies (loans provided, concessionaire companies operating existing toll facilities, providing land, providing tax incentives, providing foreign exchange guarantees, competition protection or no second passage guarantee , Property company operating a roadside service, support for force majeure, etc.); construction costs, fixed prices and turnkey projects; and payment upon early termination of the agreement. These provisions can be used for highway BOT projects in our country and similar Sino-foreign cooperation projects for reference when drafting and negotiating contracts.
