企业集团是生产集中和资本聚集的表现形式之一,通过利用市场和组织两种方式来实现企业组织与市场机制的相互补充,进而促进企业整体的发展。但在母子公司关系体制中,子公司与母公司在法律上是平等的企业法人,母公司并不能对子公司所有的问题都直接插手,由此两者之间必然会产生意愿不一致的情况,为实现集团整体目标,合理优化资源,就必须要处理好母子公司的关系。本文结合我国母子公司管理的现状,主要研究了母子公司管理模式,旨在为优化集团资源配置,发挥集团的整体优势作用提供参考。
Enterprise group is one of the manifestations of concentration of production and accumulation of capital. Through the use of market and organization, enterprise group and market mechanism are complemented each other, which in turn promotes the overall development of the enterprise. However, in the parent-child relationship system, the subsidiary and the parent company are legally equal corporate entities. The parent company can not directly intervene in all the subsidiary’s problems. As a result, there is a certain inevitability of inconsistency between the two. In order to achieve the overall goal of the Group and to optimize its resources reasonably, it is necessary to handle the relationship between the parent company and the parent company. Based on the current situation of parent-subsidiary management in our country, this paper mainly studies the management mode of parent-subsidiary company, which aims to provide reference for optimizing the allocation of resources and giving play to the overall superiority of the group.
