房地产项目收购,顾名思义,是对目标公司房地产项目的收购,收购方通过购买目标公司的房地产项目,以取得其名下房地产的开发经营权。一般而言,对房地产项目的收购,通常采用两种模式:一是对房地产项目公司股权的收购;另一是对房地产项目公司资产的收购。两种模式并非泾渭分明,出于各种因素的考虑,实务中的房地产项目收购过程中,股权收购与资产收购时常混同、相伴共存,这就导致了收购存在诸多问题,难以完成收购方的预期目的。本文以笔者经办的一起金额2.4亿元的房地产项目收购实务为例,根据案情以及股权收购与资产
